Posterwa is an independent fan merchandise brand founded in 2020 and based in Bengaluru, India. We design, manufacture, and sell fan art merchandise including posters, stickers, and custom personalised products inspired by popular culture, including anime, K-pop, sports, Bollywood, and web series fandoms.

Our fan art is created under the longstanding tradition of fan creativity and transformative artistic expression. However, we acknowledge that intellectual property rights vest in their respective owners, and we respect those rights. If you are an IP rights holder and have a concern about a specific design, please refer to Section 10 of this Legal Notice.

3. Permitted Use of This Website

You are permitted to access and use posterwa.com solely for the following lawful purposes:

• Browsing and purchasing products listed for sale on the website.

• Creating and managing a personal user account.

• Submitting fan art designs or user-generated content as part of our community design programme, subject to Section 7 of this Legal Notice.

• Contacting us for customer support, order queries, or collaboration enquiries.

3.1 Prohibited Uses

You must not use this website for any of the following:

• Any unlawful purpose or in violation of any applicable Indian law or regulation.

• Scraping, crawling, or automatically extracting data, product listings, images, or pricing information without prior written permission from Posterwa.

• Reproducing, redistributing, selling, or commercially exploiting any content from this website without written authorisation.

• Uploading or transmitting viruses, malware, or any other harmful code.

• Attempting to gain unauthorised access to any part of the website, its servers, or databases.

• Impersonating Posterwa, its team members, or any other person or entity.

• Posting or transmitting content that is defamatory, obscene, offensive, threatening, or violates the rights of any third party.

• Using the website in any manner that could disable, damage, or impair its functionality or interfere with other users' access.

Posterwa reserves the right to suspend or permanently terminate access for any user found to be in violation of these terms, without notice and without liability.

4. Intellectual Property Rights

4.1 Posterwa's Own Intellectual Property

The following elements of this website are the exclusive intellectual property of Posterwa or its community artists and are protected under the Copyright Act, 1957 (India) and other applicable laws:

• The Posterwa brand name, wordmark, logo, and all visual brand identity elements.

• All original fan art designs created in-house by Posterwa's design team.

• Website design, layout, user interface, graphics, and original photography.

• All original written content including product descriptions, blog posts, policy documents, and marketing copy.

You may not copy, reproduce, modify, republish, distribute, publicly display, or create derivative works from any of the above without prior written consent from Posterwa.

4.2 Third-Party Intellectual Property

Posterwa acknowledges that certain characters, names, titles, logos, and other elements featured in our fan art may be trademarks or copyrighted material belonging to third-party studios, networks, sports bodies, or other rights holders. These elements are the property of their respective owners.

The use of such elements in our fan art does not constitute a claim of ownership over those elements, nor does it imply any affiliation with or endorsement by the respective rights holders. All such third-party intellectual property is used in the context of transformative fan art and artistic commentary.

4.3 Community-Submitted Designs

Designs submitted by community artists for sale on posterwa.com remain the creative work of the respective artists. By submitting a design, the artist grants Posterwa a non-exclusive, royalty-bearing licence to produce, sell, and market products featuring that design on the terms agreed at the time of submission. Posterwa does not claim ownership of community-submitted designs beyond the scope of that licence.

5. User Accounts

You may create a personal account on posterwa.com to manage your orders, save your preferences, and participate in our community design programme. By creating an account, you agree to the following:

• You are at least 13 years of age. If you are under 18, you have obtained consent from a parent or legal guardian to use this website and make purchases.

• All information you provide during registration is accurate, current, and complete.

• You are responsible for maintaining the confidentiality of your account credentials. You must not share your login details with any other person.

• You are responsible for all activity that occurs under your account.

• You will notify us immediately at support@posterwa.com if you suspect any unauthorised use of your account.

Posterwa reserves the right to suspend or terminate any user account that violates these terms, engages in fraudulent activity, places fake orders, or is used in any way that harms the platform or other users.

6. Orders, Pricing, and Transactions

6.1 Order Acceptance

Placing an order on posterwa.com constitutes an offer to purchase. An order is confirmed only when you receive a written order confirmation from us via email. Posterwa reserves the right to refuse or cancel any order at its sole discretion, including but not limited to cases of pricing errors, stock unavailability, suspected fraud, or incomplete information.

6.2 Pricing

All prices displayed on posterwa.com are in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise. Prices are subject to change without prior notice. The price applicable to your order is the price displayed at the time of checkout and confirmed in your order confirmation email.

6.3 GST

Posterwa is a GST-registered business. Applicable Goods and Services Tax is charged on eligible transactions in accordance with the Goods and Services Tax Act, 2017. Your invoice will reflect applicable GST charges. Our GST Identification Number (GSTIN) is available on request and on your tax invoice.

6.4 Payment

Posterwa accepts payment via the payment methods displayed at checkout, which may include UPI, credit and debit cards, net banking, and cash on delivery where available. All online payment transactions are processed through PCI-DSS compliant third-party payment gateways. Posterwa does not store your card or bank account details on its servers.

6.5 Returns and Refunds

Returns and refunds are governed by our separate Return and Refund Policy, which forms part of these terms and is available at posterwa.com/refund-policy. In the event of any conflict between this Legal Notice and the Return and Refund Policy on matters of returns and refunds, the Return and Refund Policy shall prevail.

7. User-Generated Content and Community Design Submissions

7.1 Submission of Designs

Posterwa invites community artists and fans to submit original fan art designs for potential listing on posterwa.com. By submitting a design, you represent and warrant that:

• The design is your own original creative work.

• You hold all necessary rights to submit and licence the design.

• The design does not infringe the copyright, trademark, or other intellectual property rights of any third party beyond the bounds of transformative fan art.

• The design does not contain defamatory, obscene, unlawful, or otherwise objectionable content.

7.2 Licence Granted to Posterwa

By submitting a design to Posterwa, you grant us a non-exclusive, worldwide, royalty-bearing licence to reproduce, manufacture, sell, market, and distribute products featuring your design through posterwa.com and our other sales channels, on the commercial terms communicated to you at the time of submission. This licence remains in effect for as long as the design is listed on our platform.

7.3 Other User-Generated Content

If you post reviews, comments, photos, or other content on posterwa.com or on our official social media pages, you grant Posterwa a non-exclusive, royalty-free, perpetual licence to use, display, and reproduce that content for promotional and marketing purposes, with or without attribution. You retain ownership of your content but warrant that it does not violate any third-party rights.

7.4 Content Moderation

Posterwa reserves the right to remove, reject, or decline to publish any user-submitted content or design at its sole discretion, without providing reasons and without liability to the submitting user.

8. Disclaimer of Warranties

This website and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Posterwa makes no representations or warranties of any kind, express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement.

• That the website will be available uninterrupted, error-free, or free of viruses or harmful components.

• That the information on the website is accurate, complete, or current at all times.

• That product images displayed on the website are an exact representation of the physical product, including colour accuracy, given inherent differences between screen display and print output.

Nothing in this section limits your statutory rights as a consumer under the Consumer Protection Act, 2019 (India) or any other applicable consumer protection legislation.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Posterwa, its proprietor, employees, agents, and service providers shall not be liable for:

• Loss of data, loss of profits, or loss of goodwill.

• Damages resulting from unauthorised access to or alteration of your account or data.

• Damages caused by delays or failures of third-party logistics partners in delivering your order.

• Any loss or damage arising from your reliance on information provided on this website.

In all cases where liability cannot be excluded under applicable law, Posterwa's total aggregate liability to you shall not exceed the amount you paid for the specific order or transaction giving rise to the claim.

10. Intellectual Property Complaints and Takedown Procedure

Posterwa respects intellectual property rights and takes all complaints seriously. If you are an intellectual property rights holder or their authorised representative and believe that a product or design listed on posterwa.com infringes your rights, please submit a written complaint to us containing the following information:

• Your full legal name and contact details, including email address and phone number.

• A description of the intellectual property right you claim is being infringed, including registration numbers or references where applicable.

• A clear identification of the specific product or design on posterwa.com that you allege is infringing, including the product URL.

• A statement that you have a good-faith belief that the use of the material is not authorised by the rights holder, its agent, or applicable law.

• A statement that the information in your complaint is accurate and that you are the rights holder or are authorised to act on their behalf.

• Your physical or electronic signature.

Submit complaints to: support@posterwa.com with the subject line: IP COMPLAINT followed by the product name.

Upon receipt of a valid and complete complaint, Posterwa will acknowledge receipt within 3 business days and take appropriate action, which may include removal of the listing, further investigation, or communication with the relevant community artist. We aim to resolve all IP complaints within 15 business days of receipt of a complete complaint.

Posterwa reserves the right to restore listings that are found not to infringe applicable rights, and to take appropriate action against parties who submit complaints in bad faith.

11. Third-Party Links and Services

posterwa.com may contain links to third-party websites, social media platforms, payment gateways, or other external services. These links are provided for convenience only. Posterwa does not endorse, control, or take responsibility for the content, privacy practices, or terms of any third-party website or service.

Your use of any third-party platform or service linked from our website is entirely at your own risk and is governed by the terms and policies of that third party. We recommend reviewing the terms and privacy policies of any external platform before providing your personal information.

12. Privacy and Data Protection

The collection, storage, use, and protection of your personal information when you use posterwa.com is governed by our Privacy Policy, which is available at posterwa.com/privacy-policy. The Privacy Policy forms an integral part of this Legal Notice and should be read alongside it.

Subject to the dispute resolution process described below, any legal proceedings arising from or in connection with this Legal Notice shall be subject to the exclusive jurisdiction of the competent courts of Bengaluru, Karnataka, India.

13.1 Dispute Resolution

In the event of any dispute between you and Posterwa arising from your use of this website or any transaction, both parties agree to first attempt to resolve the matter amicably through direct communication. You may reach us at support@posterwa.com.

If the dispute cannot be resolved amicably within 30 days of written notice, either party may refer the matter to a sole arbitrator mutually appointed by both parties, to be conducted in Bengaluru in accordance with the Arbitration and Conciliation Act, 1996, as amended. The language of arbitration shall be English. The arbitrator's award shall be final and binding on both parties.

Nothing in this clause prevents either party from seeking urgent interim or injunctive relief from a competent court.

14. Severability

If any provision of this Legal Notice is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable. If modification is not possible, the provision shall be severed from this Legal Notice. The remaining provisions shall continue in full force and effect and shall not be affected by any such invalidity or unenforceability.

15. No Waiver

The failure of Posterwa to enforce any provision of this Legal Notice on any occasion shall not constitute a waiver of Posterwa's right to enforce that provision or any other provision on any future occasion. No waiver of any term shall be effective unless made in writing and signed by the proprietor of Posterwa.
